SafeBilled Terms of Use
These Terms govern access to and use of SafeBilled websites, applications, project workspaces, and related services.
Acceptance
By creating an account, selecting an acceptance checkbox, submitting information, uploading content, or using SafeBilled, you agree to these Terms and the role-specific agreements and policies that apply to your account.
If a role-specific agreement conflicts with these Terms for that role, the role-specific agreement controls for that role.
Eligibility and Accounts
You must be at least 18 years old and legally able to enter into binding agreements. If you create an account for a business, you represent that you are authorized to act for and bind that business.
You must provide accurate, current, and complete registration, project, payment, licensing, insurance, referral, and contact information, and you must keep material information current.
You are responsible for activity through your account unless and until you notify SafeBilled of unauthorized access.
Platform Scope
SafeBilled provides a U.S.-focused residential project and protected payment platform that helps homeowners, contractors, and realtors coordinate project agreements, files, funding, approvals, releases, and project records.
SafeBilled is not the contractor, subcontractor, design professional, bank, licensed escrow provider, insurer, trustee, fiduciary, or guarantor for any project.
SafeBilled may review, approve, suspend, or remove users for platform integrity, risk, compliance, quality, fraud-prevention, or business reasons, but SafeBilled does not guarantee contractor performance, code compliance, project completion, or project quality.
Permitted Use
You may use SafeBilled only for lawful project, payment, referral, communication, and administrative purposes authorized by SafeBilled.
You may not misuse the platform, upload unlawful content, infringe another party's rights, interfere with system operation, reverse engineer the platform, scrape data without permission, or use SafeBilled in violation of law.
You may not use SafeBilled to identify, contact, quote, engage, or coordinate with another user for the purpose of avoiding SafeBilled's documented project workflow, fees, payment controls, dispute procedures, or release rules.
User Materials
Users may upload Project Work Agreements, photos, invoices, change orders, licenses, insurance certificates, communications, and other project materials.
Each user represents that they have the rights and authority needed to submit those materials and that submitted materials are accurate to the best of the user's knowledge.
Each user grants SafeBilled a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, and use submitted materials as reasonably necessary to operate, secure, improve, support, and enforce the platform and applicable agreements.
Electronic Records and Notices
You consent to transact with SafeBilled electronically and agree that electronic records, notices, disclosures, and signatures satisfy legal requirements for writings and signatures to the fullest extent permitted by law.
SafeBilled may send transactional and service-related communications by email, in-app message, and text message using the contact information you provide. Marketing communications require separate consent where required by law.
Fees, Taxes, and Third-Party Services
Applicable fees may include a Bank Payment Fee, Payment Processing Fee, Project Protection Fee, SafeBilled Project Fee, or other charges disclosed in the applicable project or payment flow.
Homeowner-side fees are added to the homeowner funding total when disclosed and accepted. The SafeBilled Project Fee is deducted from funded contractor payouts unless the project flow clearly states otherwise.
Contractors must complete Stripe-hosted payout setup for a Stripe Connect Express connected account before SafeBilled can send contractor payouts. Stripe payment and payout services are subject to Stripe's Connected Account Agreement and related Stripe terms.
Third-party services, including payment processors, messaging providers, identity-verification vendors, and cloud-service providers, may support platform operation.
Suspension and Termination
SafeBilled may suspend, limit, or terminate access if SafeBilled reasonably believes a user violated law, these Terms, another agreement, processor rules, or platform integrity standards, or created legal, fraud, sanctions, payment, safety, or reputational risk.
SafeBilled may remove content, preserve records, restrict tools, freeze certain workflows, reduce contractor visibility, delay payouts where permitted, or close projects that have been moved off-platform.
Disclaimers and Limitation of Liability
The platform is provided as is and as available to the maximum extent permitted by law. SafeBilled does not warrant uninterrupted availability, error-free operation, perfect security, or that any contractor, project, or payment will be appropriate, lawful, complete, or successful.
Except for liability that cannot be limited by law, SafeBilled's aggregate liability to a user for claims arising out of or relating to the platform will not exceed the total amount of SafeBilled fees actually paid by that user to SafeBilled during the twelve months before the event giving rise to the claim.
Indemnification
Each user agrees to defend, indemnify, and hold harmless SafeBilled and its directors, officers, employees, and affiliates from third-party claims, losses, liabilities, damages, costs, and expenses arising out of the user's breach of these Terms, unlawful conduct, fraud, infringement, inaccurate submissions, or disputes with another platform participant.
Changes, Governing Law, and Contact
Material changes affecting payment mechanics, dispute rights, arbitration rights, or privacy practices should be presented for renewed acceptance before they apply to future conduct unless law permits another method of notice.
These Terms are governed by the laws of North Carolina, without regard to conflict-of-law principles. If a dispute is not subject to a valid arbitration clause, the parties consent to the state and federal courts located in Mecklenburg County, North Carolina.
