Contractor Platform Agreement

This agreement governs contractor business use of SafeBilled's residential project and protected payment platform.

Eligibility and Approval

Contractors must be valid businesses or sole proprietorships legally authorized to perform the offered services.

Contractors must complete SafeBilled onboarding requirements, including identity or business verification, tax information, payment-processor onboarding, licensing review, insurance review, profile or service-category information, and any additional compliance screening SafeBilled reasonably requires.

SafeBilled may approve, deny, condition, suspend, or revoke contractor participation for integrity, risk, compliance, quality, or business reasons.

Contractor Status

Contractor is an independent business and not an employee, partner, agent, joint venturer, or representative of SafeBilled.

Licensing, Insurance, and Compliance

Contractor must maintain all licenses, permits, certifications, registrations, and insurance required for the work performed and the jurisdictions in which it is performed.

Contractor must comply with applicable federal, state, and local laws, including building, safety, wage, tax, consumer-protection, advertising, and occupational requirements.

Contractor-provided license and insurance information may be shown in SafeBilled project flows. SafeBilled only treats that information as verified when a supported verification workflow or admin review marks it verified.

Use of the Platform

Contractor opportunities may be invitation-only or otherwise controlled through SafeBilled's selection, approval, and invitation process rather than open public browsing.

Contractors may maintain a business profile and may receive invitations to bid or participate in residential projects through SafeBilled's workflow.

Contractors may submit bids, project agreements, milestone requests, invoices, change orders, completion notices, licenses, insurance records, and communications through the platform.

SafeBilled Project Fee and Payouts

SafeBilled may charge a disclosed SafeBilled Project Fee that is deducted from funded contractor payouts unless the project flow states another fee allocation.

Contractors must complete Stripe-hosted payout setup for a Stripe Connect Express connected account before receiving payouts through SafeBilled. Stripe may require identity, business, tax, and bank account information, and Stripe may determine verification requirements, payout eligibility, account restrictions, and payout timing.

Contractor use of Stripe payout services is subject to the Stripe Connected Account Agreement and related Stripe terms, available from Stripe at https://stripe.com/connect-account/legal. Contractor authorizes SafeBilled to receive payout setup status and related connected account information from Stripe as needed to provide contractor payout services.

Stripe payout setup should not be described as opening a separate SafeBilled payment account. SafeBilled is not a bank and does not provide banking services; Stripe provides payment processing and payout services.

Payout timing depends on the applicable project documents, homeowner approval, the Payment Terms, processor rules, reserves, negative-balance events, and any permitted payout delay or reserve under this agreement.

Contractor authorizes SafeBilled and its payment processor to debit, offset, reverse, or withhold amounts as allowed by this agreement, the Payment Terms, processor tools, and applicable law.

Chargebacks, Refunds, Reserves, and Clawbacks

Contractor is financially responsible for chargebacks, ACH returns, transfer reversals, refunds, credits, processor losses, fines, or platform losses arising from contractor conduct, misrepresentation, scope disputes, performance disputes, delays, non-compliance, or breach of this agreement, to the extent permitted by law.

SafeBilled may hold reserves, suspend payouts, offset future payouts, reverse transfers where supported by the processor, or require reimbursement after notice.

Non-Circumvention and Platform Integrity

Contractor may not use SafeBilled to obtain, contact, quote, engage, or manage a SafeBilled homeowner and then move that same project, related phase, milestone payment, final payment, change order, or substantially connected follow-on engagement off-platform to avoid SafeBilled's fees, payment controls, documentation standards, release rules, or dispute procedures.

Contractor must not pressure, incentivize, or advise a homeowner to avoid SafeBilled, and must not represent that platform fees can be avoided without affecting project protections, records, or SafeBilled rights.

If SafeBilled reasonably believes contractor engaged in circumvention or related misconduct, SafeBilled may issue warnings, reduce invitation priority, remove verification designations, freeze new opportunities, suspend or terminate the account, place reserves, delay payouts where permitted, offset future payouts, recover avoided fees and direct administrative losses to the extent permitted by law, and seek lawful relief.

Commercial Dispute Resolution

Before starting arbitration, the parties will attempt to resolve any dispute informally for thirty days after written notice.

If unresolved, the dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, unless non-waivable law requires otherwise.

Each party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect confidential information, intellectual property, non-circumvention rights, or prevent misuse of platform data while arbitration is pending.
